Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and BuxIQ ("BuxIQ", "we", "our", or "us") governing your access to and use of the BuxIQ mobile application and the website located at https://www.buxiq.app (collectively, the "Service").
By downloading, installing, registering for, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, as well as our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not download, install, register for, or use the app or website. You may contact us at support@buxiq.app if you have questions before agreeing.
We may update these Terms from time to time. When we make material changes, we will notify you as described in the applicable section below. Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms.
2. Service Description
BuxIQ is a personal finance management application designed to help individual users and households track expenses, create and monitor budgets, set and pursue savings goals, and receive AI-powered financial insights and analysis. The Service is available as a mobile application on Android and iOS platforms, and via the website at buxiq.app.
Key features of the Service include automatic transaction detection via SMS parsing (with optional user permission), AI-powered merchant categorisation, a conversational AI Financial Assistant, budget tracking with real-time alerts, savings goal management, a Financial Health Score, and Family Mode for household financial management.
What BuxIQ Is Not
BuxIQ is NOT a bank, financial institution, payment service, investment advisor, stockbroker, insurance provider, or licensed financial service provider of any kind. BuxIQ does not hold, transfer, or custody funds. BuxIQ does not execute financial transactions on your behalf. BuxIQ does not provide licensed financial, tax, legal, or investment advice. The AI insights and recommendations generated by BuxIQ are informational and educational in nature only - see Section 10 for the full financial disclaimer.
BuxIQ is a software tool to help you organise and understand your own financial data. All financial decisions remain entirely your own responsibility.
Service Availability
The Service is primarily designed for users in India and Southeast Asia. While the Service may be accessible from other locations, BuxIQ makes no representation that it is appropriate or legally compliant for use in all jurisdictions. Users outside India are responsible for ensuring their use of the Service complies with their local laws.
3. Account Registration & Eligibility
Age Requirements
You must be at least 18 years of age to create a BuxIQ account and use the Service independently. Users aged 13 to 17 may participate in BuxIQ's Family Mode as a child account only, subject to the explicit conditions described below. BuxIQ does not knowingly permit users under the age of 13 to create accounts or use the Service in any capacity.
Family Mode - Minor Users (Ages 13–17)
Users between the ages of 13 and 17 may be added to a BuxIQ household as a child account exclusively through Family Mode. Such child accounts must be created and administered by a parent or legal guardian who holds a valid adult BuxIQ account. By adding a minor to a Family Mode household, the parent or guardian expressly consents to the minor's limited use of the Service and accepts full responsibility for overseeing that use. Minor users may not independently create accounts, agree to Terms, purchase subscriptions, or access AI features without the express authorisation of their parent or guardian within the app's parental controls. Minors must not use the Service for any commercial purpose.
Account Information
You agree to provide accurate, current, and complete information when creating your account, and to promptly update your account information if it changes. You may maintain only one account per person. Creating multiple accounts to circumvent service limitations, bans, or subscription requirements is prohibited and may result in the permanent termination of all associated accounts.
Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify BuxIQ immediately at support@buxiq.app if you suspect any unauthorised access to or use of your account. BuxIQ is not liable for any loss or damage arising from your failure to safeguard your account credentials.
Account Termination for False Information
BuxIQ reserves the right to suspend or permanently terminate any account that was created with false, misleading, or fraudulent registration information, without prior notice and without liability.
4. Free vs Pro Plan Terms
Free Plan
BuxIQ offers a Free plan that is available to all registered users at no cost, for as long as BuxIQ continues to offer a free tier. The features included in the Free plan are as described at buxiq.app/#pricing at the time of your registration. Free plan features include automatic transaction tracking, manual expense entry, basic categories, one monthly budget, three months of transaction history, a Financial Health Score, and a limited number of AI insights per month.
Pro Plan
BuxIQ Pro is a paid subscription plan available on a monthly basis (₹299/month) or an annual basis (₹2,499/year, representing a saving of approximately 30% compared to the monthly rate). Pro plan subscribers receive all features of the Free plan plus the unlimited AI Financial Assistant, Family Mode (up to six household members), unlimited savings goals, a subscription tracker, full unlimited transaction history, advanced analytics and reports, priority support, a weekly AI money brief, and shareable financial reports. Features and pricing are subject to change as described below.
Plan Feature Changes
BuxIQ reserves the right to modify the features included in either the Free or Pro plan at any time. For material reductions to the features of the Pro plan (i.e., removal of a feature that was previously included), BuxIQ will provide at least 30 days advance notice to active Pro subscribers via in-app notification and/or email before the change takes effect. Modifications, additions, or enhancements to plan features do not entitle existing subscribers to refunds or plan downgrades outside of the standard cancellation process.
Free Plan Limitations
BuxIQ reserves the right to introduce reasonable usage limitations on the Free plan to ensure fair use and service sustainability. Such limitations will be announced in advance and will not affect data already collected or stored in your account.
5. Modification of Service
BuxIQ is a dynamic product that evolves continuously. We reserve the right to modify, update, enhance, suspend, or discontinue any feature, component, or the entirety of the Service at any time, at our sole discretion.
Notice for Material Changes
For material changes to the Service - meaning changes that significantly alter how a core feature works or that remove a feature that users substantially rely upon - BuxIQ will endeavour to provide at least 30 days advance notice via in-app notification, email, or both. This notice period may be shortened or waived in the case of emergency security updates, legal requirements, or changes necessitated by third-party service providers outside our control.
Service Discontinuation
In the event that BuxIQ decides to discontinue the Service entirely, we will provide users with at least 60 days notice and will facilitate the export of all user data during the notice period so that users can retrieve their financial records before the service is shut down.
Limitation of Liability for Changes
BuxIQ is not liable for any inconvenience, disruption, data loss, or financial impact - whether direct or indirect - resulting from service modifications, feature removals, performance degradation, or service discontinuation, to the maximum extent permitted by applicable law. Your continued use of the Service after any modification takes effect constitutes your acceptance of the modified Service.
6. Acceptable Use Policy
By using BuxIQ, you agree to use the Service only for lawful purposes and in accordance with these Terms. The following uses are expressly prohibited:
Technical Prohibitions
- Reverse engineering: You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying logic of the BuxIQ application or AI models.
- Scraping and harvesting: You may not use automated means to scrape, crawl, extract, or harvest any data, content, or information from BuxIQ's servers, APIs, or user interfaces.
- Automated access: You may not use bots, scripts, macros, or other automated tools to access or interact with the Service in a manner that places disproportionate load on our infrastructure or circumvents rate limiting.
- Security circumvention: You may not attempt to bypass, disable, or otherwise circumvent any security measures, authentication systems, access controls, or encryption employed by BuxIQ.
- Malware transmission: You may not upload, transmit, or introduce any viruses, worms, trojan horses, ransomware, spyware, or other malicious or harmful code into the Service.
Account and Identity Prohibitions
- Credential sharing: You may not share your account login credentials with any other person or allow any third party to access the Service using your account.
- Impersonation: You may not impersonate any person, entity, or organisation - including BuxIQ employees, support staff, or other users.
- Unauthorised access: You may not attempt to gain access to another user's account, data, or private financial information.
- Multiple accounts: You may not create multiple accounts to circumvent suspensions, service limitations, or subscription requirements.
Legal and Ethical Prohibitions
- Illegal activity: You may not use BuxIQ to facilitate, record, conceal, or advance any illegal financial activity, including money laundering, tax evasion, fraud, or financing of prohibited activities.
- Violation of law: You may not use the Service in any manner that violates applicable Indian law, the laws of your country of residence, or applicable international law.
- Harassment: You may not use any communication features within the Service to harass, threaten, or abuse other users or BuxIQ staff.
Consequences of Violation
Violation of this Acceptable Use Policy may result in immediate suspension or permanent termination of your account, without prior notice, at BuxIQ's sole discretion. Serious violations may be reported to law enforcement authorities. BuxIQ reserves the right to investigate suspected violations and to cooperate fully with legal authorities in connection with any investigation.
7. User Content & Data Ownership
Your Data Belongs to You
All financial data that you enter into BuxIQ - including your transaction records, budgets, goals, notes, categories, and any other personal financial information - belongs entirely to you. BuxIQ makes no claim of ownership over your personal financial data.
License Grant to BuxIQ
By using the Service, you grant BuxIQ a limited, non-exclusive, non-transferable, revocable licence to store, process, analyse, and use your data solely and exclusively for the purpose of providing you with the BuxIQ Service, including generating AI insights, maintaining your account, and delivering the features you have requested. This licence does not permit BuxIQ to use your personal financial data for advertising, to sell it to third parties, or for any purpose other than operating and improving the Service as described in the Privacy Policy.
Your Right to Export
You may export your complete transaction history and financial data at any time in CSV or JSON format, free of charge, from within the BuxIQ app under Settings → Export Data. We encourage you to regularly export your data as part of good personal data hygiene.
Your Right to Delete
You may permanently delete your account and all associated data at any time, as described in our Privacy Policy. Upon deletion, BuxIQ's licence to use your data is immediately and irrevocably terminated.
No Sale of Personal Data
BuxIQ will never sell, rent, trade, or otherwise commercially transfer your personal financial data to any third party. Our business model is subscription-based. Your data is not our product.
Anonymized Aggregate Data
BuxIQ may use anonymized, aggregated, de-identified data - from which all personal identifiers have been removed and which cannot reasonably be used to identify any individual - for service improvement, product research, and internal analytics. This use does not constitute a sale or sharing of personal data.
8. Intellectual Property
The BuxIQ Service and all of its constituent components are the exclusive intellectual property of BuxIQ and are protected by applicable Indian and international intellectual property laws, including copyright, trademark, trade secret, and patent law.
BuxIQ's Intellectual Property
The following are owned by BuxIQ and may not be copied, reproduced, distributed, modified, adapted, displayed, performed, sublicensed, or otherwise used without our prior written permission: the BuxIQ name and wordmark; the BuxIQ logo and all associated brand assets; the BuxIQ mobile application source code, compiled code, and binaries; the BuxIQ website design, layout, and source code; all AI models, categorisation algorithms, and financial scoring algorithms developed by BuxIQ; all user interface designs, icons, illustrations, and visual assets; all written content, copy, and documentation produced by BuxIQ.
Limited Licence to Use the App
Subject to your compliance with these Terms, BuxIQ grants you a limited, personal, non-exclusive, non-transferable, revocable licence to download, install, and use the BuxIQ application on devices you personally own or control, solely for your personal, non-commercial financial management purposes. This licence does not include the right to sublicense, sell, resell, transfer, distribute, or exploit any part of the Service.
Third-Party Intellectual Property
The BuxIQ Service may incorporate or interact with third-party software, libraries, fonts, and services that are subject to their own licensing terms. All such third-party intellectual property remains the property of its respective owners. BuxIQ's use of third-party components does not grant you any rights in those components beyond what is necessary for your authorised use of the Service.
Feedback
If you voluntarily submit ideas, suggestions, feedback, or recommendations about the Service ("Feedback"), you grant BuxIQ a royalty-free, worldwide, perpetual, irrevocable licence to use, implement, modify, and incorporate that Feedback into the Service without any obligation of confidentiality or compensation to you.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE BUXIQ SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.
BUXIQ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR CURRENCY OF ANY INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED INSIGHTS AND FINANCIAL DATA; AND WARRANTIES THAT ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK. BUXIQ DOES NOT WARRANT THAT THE SERVICE IS FREE FROM VIRUSES, MALICIOUS CODE, OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICE WILL PROTECT YOUR DEVICE FROM ANY SECURITY THREATS ORIGINATING OUTSIDE OF THE SERVICE.
Some jurisdictions do not permit the exclusion of certain warranties. In such jurisdictions, certain exclusions above may not apply to you, and you may have additional rights under applicable consumer protection law. Nothing in this section is intended to limit any rights you may have that cannot be excluded under applicable law.
10. Financial Advice Disclaimer
This section is critically important. Please read it carefully before relying on any information or output generated by BuxIQ.
BuxIQ provides financial information, spending analysis, budgeting tools, goal tracking, and AI-generated insights for informational and educational purposes only. The content, analysis, and recommendations generated by BuxIQ - including those produced by the AI Financial Assistant - are not, and must not be construed as, professional financial advice, investment advice, tax advice, legal advice, or accounting advice of any kind.
AI-Generated Insights Are Not Professional Advice
The BuxIQ AI Financial Assistant and AI-generated spending insights are powered by large language model technology. While we strive for accuracy and usefulness, AI-generated outputs may be incomplete, incorrect, outdated, or unsuitable for your specific financial situation. AI insights reflect pattern analysis of your transaction data and general financial principles - they do not account for your complete financial picture, your tax situation, your legal obligations, your risk tolerance, or the regulatory environment in your jurisdiction.
Consult a Licensed Professional
Before making any significant financial decision - including but not limited to investment decisions, taking on debt, making major purchases, changing insurance coverage, starting or closing a business, estate planning, or retirement planning - you should always consult a qualified, licensed, and registered financial advisor, tax professional, or other relevant specialist who can advise on your specific circumstances.
No Fiduciary Relationship
Your use of BuxIQ does not create any fiduciary, advisory, or professional-client relationship between you and BuxIQ. BuxIQ is a software tool, not a financial services firm, and none of BuxIQ's employees, contractors, or AI systems are acting as your financial advisor.
Past Patterns Are Not Predictive
Any projections, forecasts, or goal-achievement estimates generated by BuxIQ are based solely on your historical transaction data and user-entered targets. They are illustrative in nature and are not guarantees of future financial outcomes. Actual results may vary significantly based on factors outside BuxIQ's visibility or control.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND NOTWITHSTANDING ANY OTHER PROVISION OF THESE TERMS, BUXIQ'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE - WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY - SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO BUXIQ IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM AROSE; OR (B) FIVE HUNDRED INDIAN RUPEES (₹500).
IN NO EVENT SHALL BUXIQ, ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, LICENSORS, SERVICE PROVIDERS, OR AGENTS BE LIABLE TO YOU FOR ANY: INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS; LOSS OF DATA, LOSS OF GOODWILL, OR LOSS OF BUSINESS OPPORTUNITIES; COST OF SUBSTITUTE SERVICES OR TECHNOLOGY; OR ANY OTHER INTANGIBLE LOSSES - EVEN IF BUXIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
THE LIMITATIONS IN THIS SECTION APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CLAIMS BASED ON CONTRACT, TORT, NEGLIGENCE, BREACH OF STATUTORY DUTY, MISREPRESENTATION, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER BUXIQ WAS ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.
Some jurisdictions do not permit the exclusion or limitation of incidental or consequential damages. In such jurisdictions, the limitations above may not apply to you. Nothing in this section is intended to limit liability that cannot be excluded or limited under applicable law, including any liability for death or personal injury caused by negligence, or liability for fraud or fraudulent misrepresentation.
12. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless BuxIQ and its parent company, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and successors (collectively, the "BuxIQ Parties") from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses - including reasonable attorneys' fees and legal costs - that arise out of or in connection with:
- Your breach or alleged breach of any provision of these Terms;
- Your access to or use or misuse of the Service;
- Any content, data, or information you submit, post, or transmit through the Service;
- Your violation of any applicable law, regulation, or the rights of any third party (including intellectual property rights, privacy rights, or consumer protection laws);
- Any negligent, reckless, or wilful conduct on your part in connection with the Service;
- Your use of AI-generated insights from BuxIQ as a basis for financial decisions, resulting in claims by third parties against BuxIQ.
BuxIQ reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. In that event, you agree to cooperate fully with BuxIQ's defence of such claim and to not settle any such matter without BuxIQ's prior written consent. You will not settle any claim that imposes any obligation, restriction, or liability on any BuxIQ Party without BuxIQ's prior written consent.
13. Privacy
Your use of BuxIQ is also governed by our Privacy Policy, which is incorporated into these Terms of Service by this reference and forms part of the binding agreement between you and BuxIQ. The Privacy Policy describes how we collect, use, store, protect, and share your personal and financial data, and what rights you have over that data.
By using BuxIQ, you consent to the collection and use of your information as described in the Privacy Policy, including the optional grant of SMS read permission for automatic transaction detection, and the processing of anonymized transaction data by our AI service provider for the purpose of generating AI-powered insights.
In the event of a conflict between any provision of these Terms and the Privacy Policy, the Privacy Policy shall govern with respect to privacy and data handling matters.
The Privacy Policy is available at all times at https://www.buxiq.app/privacy. We encourage you to review it carefully.
14. Subscription, Billing & Cancellation
Free Trial
New BuxIQ Pro subscribers are entitled to a 14-day free trial upon first subscription. No payment is charged during the free trial period. You may cancel at any time during the trial period at no cost. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid Pro subscription and your chosen payment method will be charged for the first billing period.
Billing Cycles and Pricing
BuxIQ Pro is available on a monthly billing cycle (₹299 per month) or an annual billing cycle (₹2,499 per year). Subscriptions are charged in advance at the start of each billing period. For users in India, payments are processed by Razorpay. For international users, payments are processed by Stripe. All prices are listed in Indian Rupees (INR); international users may see approximate prices in their local currency, but charges are processed in INR and currency conversion is handled by your bank or payment provider at their applicable exchange rate.
Automatic Renewal
BuxIQ Pro subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorise BuxIQ to charge your payment method on file for each renewal. You will receive an email reminder before each annual renewal.
Cancellation
You may cancel your BuxIQ Pro subscription at any time by navigating to Settings → Subscription → Cancel Plan within the BuxIQ app. Cancellation takes effect at the end of your current billing period - you retain full Pro access until then. Cancellation does not delete your account or data; your account simply reverts to the Free plan at the end of the period.
Refund Policy
BuxIQ does not provide refunds for any partial billing period that has already commenced, except where required by applicable consumer protection law in your jurisdiction. If you believe you are entitled to a refund under applicable law, contact us at support@buxiq.app within 14 days of the relevant charge.
Price Changes
BuxIQ reserves the right to adjust subscription pricing. Any price increase will be communicated to existing subscribers with at least 30 days advance notice via email and/or in-app notification before taking effect on your next renewal. If you do not wish to continue at the new price, you may cancel before the next renewal.
Failed Payments
If a scheduled payment fails - for example, due to an expired card or insufficient funds - BuxIQ will automatically retry the charge at regular intervals for up to 7 days. During this grace period, your Pro account remains fully active. If the payment cannot be collected after 7 days of retries, your account will be automatically downgraded to the Free plan. No account data will be deleted during this process. You may reactivate your Pro subscription at any time by updating your payment method in the app.
Taxes
All stated prices are exclusive of applicable taxes. Goods and Services Tax (GST) or other applicable indirect taxes may be added to your subscription charge in accordance with applicable Indian tax law. The applicable tax amount, if any, will be disclosed before your payment is processed.
15. Termination
Termination by You
You may terminate your BuxIQ account at any time, for any reason, at no cost, by using the in-app deletion feature at Settings → Danger Zone → Delete Account, or by emailing support@buxiq.app with the subject "Delete My Account". Upon termination, your account will be deactivated and all associated personal data will be permanently deleted within 30 days, as described in the Privacy Policy. Termination does not entitle you to a refund for any unused portion of a prepaid subscription period.
Termination by BuxIQ
BuxIQ may suspend, restrict, or permanently terminate your account, with or without prior notice, if: you have violated any provision of these Terms or our Acceptable Use Policy; your account has been involved in fraudulent, abusive, or illegal activity; we are required to do so by applicable law or a valid legal order; your account poses a security risk to BuxIQ or other users; or for any other reason at BuxIQ's sole and reasonable discretion. BuxIQ will endeavour to provide advance notice where reasonably possible, except where doing so would compromise security, an investigation, or compliance with legal obligations.
Data Export After Termination
Upon account termination - whether initiated by you or by BuxIQ - you may request a full export of your transaction data within 30 days of the termination date by emailing support@buxiq.app. After 30 days from the termination date, all personal data will be permanently deleted in accordance with the Privacy Policy, and data export will no longer be available.
Effect of Termination
Upon termination, your licence to use the Service is immediately revoked, and you must cease all use of the app and website. Provisions of these Terms that by their nature should survive termination - including Sections 7 (Data Ownership), 8 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Financial Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), 16 (Dispute Resolution), and 19 (Governing Law) - shall survive and continue in full force and effect.
16. Dispute Resolution
Good-Faith Negotiation
Before initiating any formal dispute resolution process, both parties agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through good-faith negotiation. You should contact us at support@buxiq.app describing your dispute and the resolution you seek. We will make reasonable efforts to respond substantively within 10 business days. If the dispute cannot be resolved through direct negotiation within 30 days of the initial contact (or such longer period as mutually agreed upon in writing), either party may proceed to binding arbitration as described below.
Binding Arbitration
All disputes, controversies, or claims arising out of or relating to these Terms, the Privacy Policy, or your use of the Service that cannot be resolved through negotiation shall be finally and exclusively resolved by binding arbitration conducted in Bangalore, Karnataka, India, under the provisions of the Arbitration and Conciliation Act, 1996 of India, as amended from time to time. The arbitration shall be conducted before a sole arbitrator mutually agreed upon by the parties, or failing agreement, appointed in accordance with the Act. All arbitration proceedings shall be conducted in the English language. The arbitrator's award shall be final and binding on both parties and may be entered and enforced as a judgment in any court of competent jurisdiction.
Waiver of Class Actions
YOU AND BUXIQ EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive any right to bring or participate in any class action, collective action, private attorney general action, or other representative proceeding against BuxIQ. If this waiver is found to be unenforceable for any reason, then the entirety of this arbitration clause shall be null and void.
Exceptions
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm - for example, to stop ongoing infringement of intellectual property rights or unauthorised access to the Service - without first attempting negotiation or arbitration.
17. Force Majeure
BuxIQ shall not be liable or responsible to you, and shall not be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any of our obligations under these Terms when such failure or delay is caused by or results from events beyond our reasonable control ("Force Majeure Events").
Force Majeure Events include, without limitation: acts of God; natural disasters including earthquakes, floods, fires, cyclones, or storms; war, invasion, acts of terrorism, or civil unrest; governmental orders, actions, embargoes, sanctions, or legal changes that affect the Service; nationwide or regional power outages or failures of public utilities; failure or disruption of internet infrastructure, telecommunications networks, or backbone providers; failures of third-party cloud hosting, content delivery, or platform providers (including app stores) that are outside BuxIQ's reasonable control; global or regional health emergencies, pandemics, or epidemics; and any other cause beyond BuxIQ's reasonable ability to control or prevent.
In the event of a Force Majeure Event, BuxIQ will use commercially reasonable efforts to communicate the situation to affected users as promptly as possible and to restore normal service operations as quickly as is practicable given the circumstances. The existence of a Force Majeure Event shall not exempt you from your obligation to pay any amounts due for the Service.
18. Severability
If any provision or portion of these Terms is determined by a court of competent jurisdiction or an arbitrator to be invalid, illegal, void, or unenforceable - whether due to a conflict with applicable law, public policy, or for any other reason - that provision shall be modified or reformed by the adjudicating body to the minimum extent necessary to render it valid, legal, and enforceable, while preserving its original intent and economic effect as closely as possible. If modification is not possible, the offending provision shall be severed from these Terms.
In either case, all remaining provisions of these Terms shall continue in full force and effect and shall be binding on both parties as if the invalid, illegal, void, or unenforceable provision had never been included. The validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired by any such modification or severance.
Furthermore, any invalid or unenforceable provision in one jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction where it would be valid or enforceable.
19. Governing Law & Jurisdiction
These Terms of Service, and any disputes or claims arising out of or in connection with them or their subject matter or formation - including non-contractual disputes or claims - shall be governed by and construed in accordance with the laws of India, without regard to India's conflict of laws principles or rules that would cause the laws of any other jurisdiction to apply.
Jurisdiction for Non-Arbitrable Matters
For any disputes or claims that are not subject to arbitration under Section 16 - including emergency injunctive relief and enforcement of arbitration awards - both parties irrevocably submit to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India. Both parties waive any objection to the exercise of jurisdiction over them by such courts and any claim that such courts are an inconvenient forum.
International Users
If you access or use BuxIQ from a jurisdiction outside India, you do so voluntarily and at your own initiative. You are solely responsible for determining whether your use of the Service is permitted under and compliant with the laws of your country of residence or access. BuxIQ makes no representation that the Service is appropriate, legally compliant, or available for use in all countries or territories. You acknowledge that by using BuxIQ from outside India, you may be subject to local laws in addition to Indian law, and you agree to comply with all such applicable laws. The governing law and jurisdiction provisions of this section shall remain in full force regardless of where you access the Service from.
